Blaugarnet is not responsible for losses resulting from unauthorized access caused by your failure to secure your credentials.

Customer Content

Your organization retains ownership of all content submitted to the Services.

Customer Content may include:

• Product requirements
• Technical documentation
• Usage data
• Workflow definitions
• Approval records
• Generated blueprints
• Other business information

By using the Services, you grant Blaugarnet a limited, non-exclusive license to host, process, store, transmit, and analyze Customer Content solely for the purpose of providing and improving the Services.

No ownership rights are transferred to Blaugarnet.

AI-Assisted Services

Blaugarnet uses artificial intelligence to assist organizations in understanding, structuring, and validating business intent.

AI capabilities may include:

• Documentation
• Recommendations
• Workflow coordination
• Decision analysis

• Validation assistance

AI outputs are intended to assist-not replace-human judgment.

They may contain inaccuracies, omissions, or incomplete interpretations.

Customers are solely responsible for reviewing all AI-generated outputs before relying upon them in business or production environments.

Human Sovereignty by Design

One of Blaugarnet's foundational principles is that AI accelerates execution while humans retain authority.

Where configured by your organization:

• Critical decisions require human approval.
• Approval authority remains with designated users.
• Decision history is recorded.
• Organizational governance is preserved.

Blaugarnet does not make autonomous business decisions on behalf of customers.

Acceptable Use

You agree not to use the Services to:

• Violate applicable laws or regulations.
• Infringe the intellectual property rights of others.
• Upload malicious software or harmful code.
• Attempt unauthorized access to systems or data.
• Interfere with platform security or availability.
• Circumvent authentication or access controls.
• Use the Services for fraudulent or deceptive purposes.
• Upload content you do not have permission to use.

We reserve the right to suspend or terminate accounts that violate these Terms.

Customer Responsibilities

Customers are responsible for:

• Ensuring uploaded content is accurate and lawful.
• Obtaining necessary rights and permissions for submitted information.
• Reviewing AI-generated outputs before approval or implementation.
• Configuring appropriate user permissions.
• Maintaining internal governance processes.
• Protecting account credentials.
• Complying with applicable privacy and data protection laws.

Intellectual Property

The Blaugarnet platform, including its software, user interface, branding, methodologies, workflows, algorithms, documentation, and related intellectual property, is owned by Blaugarnet or its licensors.

These Terms do not grant you ownership of the Services.

You may not:

• Copy or reproduce the Services except as permitted by law.
• Modify or create derivative works of the platform.
• Reverse engineer or attempt to discover source code.
• Remove proprietary notices.
• Resell or sublicense the Services without authorization.

Integrations

Fees and Payments

If you purchase a paid subscription:

• Fees are payable according to your subscription agreement.
• Payments are due on the agreed billing schedule.
• Failure to pay may result in suspension or termination of Services.
• Unless otherwise stated, fees are non-refundable.

Enterprise customers may be governed by separate commercial agreements.

Confidentiality

Each party agrees to protect confidential information received from the other party using reasonable care.

Confidential information shall not be disclosed except:

• To authorized personnel or service providers with a legitimate business need.

This obligation survives termination of these Terms.

Suspension and Termination

To the maximum extent permitted by law, Blaugarnet disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

• AI-generated outputs will always be accurate.
• The Services will be uninterrupted.
• Every recommendation will meet your business objectives.
• The platform will be free from all defects or errors.

Limitation of Liability

To the fullest extent permitted by applicable law, Blaugarnet shall not be liable for:

• Indirect damages
• Consequential damages
• Special damages
• Incidental damages
• Lost profits
• Lost revenue
• Lost business opportunities
• Loss of data arising from circumstances beyond our reasonable control

Our total aggregate liability arising from these Terms shall not exceed the fees paid by the customer for the Services during the twelve (12) months preceding the event giving rise to the claim, unless otherwise required by law.

Indemnification

You agree to defend, indemnify, and hold harmless Blaugarnet, its affiliates, employees, officers, and partners from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your infringement of third-party rights.
• Customer Content submitted through your account.

Changes to the Services

Technology evolves rapidly.

We may modify, improve, discontinue, or replace features of the Services from time to time.

Where practical, we will provide reasonable notice of material changes that significantly affect customer use.

These Terms shall be governed by and interpreted in accordance with the laws specified in your applicable customer agreement.

If no separate agreement exists, these Terms shall be governed by the laws of the jurisdiction in which Blaugarnet is incorporated, without regard to conflict of law principles.
